Creators located in the European Union will receive notifications regarding significant changes at least 15 days before they become effective. The new versions of the Terms will never apply retroactively, and we will specify the exact date when they will take effect. If you continue to use Audioverse after such changes, it signifies your acceptance of the updated Terms. In cases where these Terms have been translated into other languages for your convenience, please be aware that in the event of any discrepancies between the English version and the translations, the English version shall take precedence.

Getting Started

Feel free to explore Audioverse without the need for membership. However, if you wish to initiate a crowdfunding campaign, you must register and undergo a selection process. During this registration process, it's crucial that the information you provide us with is accurate and complete. Please refrain from impersonating others, sharing offensive content, or engaging in activities that infringe upon anyone's rights. Failure to adhere to these guidelines may result in the rejection of your application.

You are responsible for all actions taken on your account, as well as for maintaining the confidentiality of your account information. If you discover unauthorized use of your information, kindly report it to us at hello@audioverse.live.

To register, you must be at least 18 years old or meet the legal age requirements for entering into a binding contract in your place of residence. Additionally, please note that if necessary, we may request proof of age.

Regrettably, we must clarify that Audioverse does not extend its acceptance to residents or citizens of the United States of America or the People's Republic of China. While we may engage in interviews, commentary, or reference regarding artists hailing from these aforementioned nations, it is imperative to understand that Audioverse does not entertain project submissions or extend any form of support to individuals originating from either of these two countries.

Using Audioverse

At Audioverse, we expect all users to act responsibly and contribute to maintaining a positive environment. Please refrain from engaging in any of the following activities while using our platform:

1. Compliance with Laws: Do not engage in any actions that violate the law or infringe upon the rights of others, including contractual obligations.

2. Prohibited Rewards: Do not offer rewards that are illegal, contravene Audioverse's policies, rules, or guidelines, or violate any applicable laws, statutes, ordinances, or regulations.

3. Truthfulness: Avoid sharing false, misleading, or inaccurate information. Deceptive or fraudulent behavior is not tolerated.

4. Respect and Civility: Show respect and consideration for others. Refrain from engaging in threatening, abusive, harassing, defamatory, libelous, tortious, obscene, profane, or invasive actions that invade someone's privacy.

5. Computer Security: Do not harm or compromise the functionality of any software, hardware, or equipment on the Site, whether owned by Audioverse or another party. This includes avoiding the distribution of software viruses or any malicious code.

6. No Spam: Do not distribute unsolicited or unauthorized advertising or promotional materials, including junk mail, spam, or chain letters. Running mailing lists, listservs, auto-responders, or any form of spam on or through the Site is prohibited.

7. Respect for Privacy: Do not misuse or abuse the personal information of other users, especially if you are creating a successful project on Audioverse.

8. Please refrain from engaging in any activities that disrupt the proper functioning of Audioverse's Services. Additionally, avoid circumventing any security measures we have implemented to protect our Services.

9. Do not attempt to harm or gain unauthorized access to any system, data, passwords, or other confidential information, whether it pertains to Audioverse or any other party.

10. Please refrain from taking any actions that place an undue burden on our infrastructure or on the infrastructure of our third-party service providers. It's important to note that we retain the right to determine what constitutes an unreasonable load.

11. Avoid using any type of software or device, whether manual or automated, to "crawl" or "spider" any part of the Audioverse Site.

12. Lastly, do not dismantle or engage in reverse engineering of any component of the Audioverse platform.

How It Works

Audioverse serves as a crowdfunding platform dedicated to supporting creative projects. When a creator shares a project on Audiover, they extend an invitation to others to contribute and support their endeavor. Individuals who provide backing for a project are recognized as official fans or supporters.

It's important to note that there is no formal contract established among the parties involved. Each supporter must make a well-informed decision before choosing to support a particular artist.

Before a project can achieve successful funding, the creator must have produced an NFT or NFT collection. Once this requirement is met, the creator has fulfilled their commitment to their backers.

Artists hold themselves accountable to their fans by upholding a high standard of effort, transparent communication, and a strong dedication to realizing an NFT collection or project. Simultaneously, backers should recognize that they play a crucial role in bringing something new to life by purchasing NFTs associated with the artist.

Creators are responsible for:

1. Diligently working in good faith to complete the project within the communicated timeframe.

2. Demonstrating appropriate and transparent use of funds, making every reasonable effort to fulfill the project as promised.

3. Maintaining honesty and avoiding any material misrepresentations in their communication with backers.

How We Help Artists

Audioverse is committed to supporting musicians and visual artists in creating, promoting, and managing NFT collections to raise capital for their important live projects, such as live tours and livestreams. We believe in providing an opportunity for creative individuals to succeed without imposing upfront charges. Here's how our charges work:

1. No Upfront Charges

Audioverse does not charge anything in advance for any NFT project. We understand that not every project will achieve its fundraising goals, and we are dedicated to minimizing financial barriers for artists.

2. Project Approval and Planning

When you submit your project proposal to Audioverse, it will be subject to review by our community and a final interview process. If your project is approved, our team will collaborate with you to plan your NFT collection and guide you through the process.

3. Promotion and Charges

Once your project goes live, Audioverse will actively promote it across various channels to maximize its visibility and success. Our charges are as follows:

• Primary Market Sales (First Sales): Audioverse charges a fee of 10% of the total sales revenue from primary market sales, which refers to the initial sales of NFTs when your collection is launched.

• Secondary Market Sales (Resales): For all subsequent sales of your NFTs on the secondary market, Audioverse charges a fee of 6% of the total sales revenue. This fee is applicable when NFTs are sold by holders to other buyers.

It's important to note that these charges are only applied when you achieve sales. Audioverse is committed to aligning its interests with yours, ensuring that we succeed when you do.

Liability

Audioverse, as a platform dedicated to NFT crowdfunding, wants to make certain aspects clear about our role and responsibilities. Please read and understand the following:

1. Limited Liability

Audioverse is not liable for any damages or losses arising from your use of our services. We are not involved in disputes between users or between users and any third party related to the use of our platform. Additionally, we do not oversee the performance or success of projects, and we do not endorse the content submitted by users.

2. Release of Claims

By using Audioverse's services, you release us from any claims, damages, and demands of every kind—whether known or unknown, suspected or unsuspected, disclosed or undisclosed—that may arise from disputes related to your use of our services. This release covers disputes between users and disputes involving third parties in connection with our services.

3. Content Disclaimer

All content you access through Audioverse's services is at your own risk. You are solely responsible for any damage or loss that may result from your interaction with or reliance on such content. While we strive to avoid approving material that could be considered offensive or damaging, we cannot be held responsible for the content posted by individual artists on our platform.

To the fullest extent permitted by law, in no event will Audioverse Live LLC, its directors, employees, partners, suppliers, or content providers be liable for any indirect, incidental, punitive, consequential, special, or exemplary damages of any kind, including but not limited to damages (i) resulting from your access to, use of, or inability to access or use the Services; (ii) for any lost profits, data loss, or cost of procurement or substitute goods or services; or (iii) for any conduct of content of any third party on the Site. In no event shall Kickstarter’s liability for direct damages be in excess of (in the aggregate) one hundred U.S. dollars ($100.00).

In the case of account cancellations, we will provide a minimum of 30 days' notice regarding the reasons behind the action, unless the cancellation is due to illicit or inappropriate content, safety concerns, counterfeiting, fraud, malware, spam, data breaches, other cybersecurity risks, or the suitability of a good or service for minors.
